Terms of Service

1. Acceptance of Terms

By accessing or using any product or service provided by Type Two Agency LLC including but not limited to Brandhood, Postly, Chatly, custom agency projects, websites, automations, and typetwoagency.com / brandhood.net (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree, you must not use the Platform.

These Terms create a legally binding agreement between you and Type Two Agency LLC.

2. Unified Account & Platform Use

By creating an account on Brandhood, Postly, or Chatly, you agree to:

• One unified user account
• Shared authentication across the TypeTwo ecosystem
• Centralized billing
• Unified data handling practices as described in the Privacy Policy

Account owners are responsible for safeguarding login credentials.

Type Two Agency LLC is not liable for unauthorized access caused by shared devices, weak passwords, or improper security management.

3. License to Use the Platform

You receive a non-exclusive, non-transferable, revocable license to access and use the Platform for business purposes.

You may not:

• Copy, modify, or reproduce any portion of the Platform
• Reverse engineer, decompile, extract source code
• Create competing systems based on our Platform
• Resell, sublicense, or distribute the software
• Modify automated flows or data pipelines
• Attempt to bypass paid features, limits, watermarks, or security
• Scrape or extract data from internal UX, AI prompts, logic, or UI/UX flows

Violation of this license will result in termination and may result in legal action.

4. Forbidden Competitive Use

Users may not use any TypeTwo product to build, train, enhance, compare, research, or model:

• Social media scheduling tools
• AI content generation platforms
• Branding or brand-identity AI systems
• WhatsApp automation tools
• Web-app builder SaaS
• Any product competing directly or indirectly with Brandhood, Postly, or Chatly

Any competitive or cloning attempt is a breach of contract.

5. Ownership of Software & Intellectual Property

All TypeTwo SaaS Products including source code, architectures, schemas, logic workflows, AI prompt pipelines, templates, UI/UX designs, automations, Google+Stripe integrations, and internal tools are the exclusive property of Type Two Agency LLC.

Users receive a license to use, not ownership.

You do not receive rights to:

• Access or view the source code
• Extract, export, or replicate designs or flows
• Train your own AI tools using our system
• Use system content to recreate similar SaaS platforms
• Copy Postly content generators
• Replicate Brandhood brand agents
• Duplicate Chatly automation logic

All intellectual property rights remain fully owned by Type Two Agency LLC.

6. Third-Party Integrations

Your use of third-party connected services (Meta, TikTok, Google, Stripe, WhatsApp Business API) is governed by their respective Terms and Developer Policies.

By connecting these accounts, you authorize Type Two Agency LLC to:

• Access and retrieve the data required to provide the service
• Publish content on your behalf (Postly)
• Retrieve analytics and insights
• Process appointments, payments, or automations
• Use access tokens securely to maintain your connection

You may revoke access at any time in your settings or through the provider.

If you revoke access, some features will stop working immediately.

7. Stripe Billing, Payments & Subscriptions

All payments are processed through Stripe, not Type Two Agency LLC.

Type Two Agency LLC does not:

• Store credit card data
• Manually modify subscriptions unless technical evidence is provided
• Process refunds for subscription periods already used
• Cancel plans upon email requests only through the Billing Portal

Users must manage their plans via the "Manage Billing" link in their dashboard.

Failure to cancel results in automatic renewal.

Chargebacks may lead to account suspension or termination.

8. Content Created by AI

Brandhood, Postly, and Chatly may generate content using third-party AI models.

By using these features, you acknowledge:

• AI outputs may include errors
• You are solely responsible for reviewing content before publishing
• TypeTwo is not liable for legal issues arising from AI-generated content
• AI outputs are provided "as-is"
• Free plans may include watermarks

9. User Responsibility

Users are responsible for:

• Ensuring compliance with all social media platform rules
• Publishing legal, ethical, and non-infringing content
• Ensuring AI usage complies with local regulations
• Verifying that all brand materials provided are authorized and legal
• Managing their own Meta/TikTok/Google/Stripe accounts

Type Two Agency LLC is not responsible for:

• Suspended Meta, TikTok, Stripe, or Google accounts
• Legal issues related to user-submitted content
• API limits imposed by third-party services

Device Fingerprinting and Fair Use Enforcement

To protect the Platform and prevent misuse, you agree that Type Two Agency LLC may use device fingerprinting, IP-based checks, and browser identification to:

• Detect fraudulent activity
• Prevent creation of multiple free-tier accounts
• Enforce device limits per user
• Ensure compliance with subscription plans
• Maintain platform security

Attempting to bypass these protections including using VPNs, device spoofing, automated systems, or repeated free-tier registrations constitutes a violation of these Terms and may result in suspension or termination of your account.

10. Additional Terms for Chatly (WhatsApp Business Automation Platform)

Chatly is a specialized business messaging automation platform operated by Type Two Agency LLC, built exclusively on the official WhatsApp Business API and governed by Meta's Business Messaging and Developer Policies. Chatly is not designed or intended to function as a general-purpose AI assistant.

Each business is fully responsible for configuring its own automated flows, product catalog, messaging templates, and customer interactions. Type Two Agency LLC provides the underlying infrastructure but does not control, read, monitor, or manage individual conversations unless expressly required for security, debugging, or legal compliance.

10.1 Allowed Use

Users of Chatly agree that Chatly:

• Is for legitimate business communication only
• Must not be used for spam, mass unsolicited messaging, or unlawful marketing
• Must comply with all applicable Meta, WhatsApp Business API, and Stripe Connect rules
• Shall only send messages related to the business's own products, services, bookings, or customer support

10.2 Automated Responses

All automated flows and responses created by the business must:

• Be pre-approved by the business owner
• Clearly represent the business's identity
• Be limited to the scope of the business's services
• Include an option for a customer to contact a human representative at any time

Chatly does not generate automated responses on its own unless configured explicitly by the business.

10.3 Payments via Stripe Connect

Payment links or payment automations inside Chatly are powered through Stripe Connect.

Type Two Agency LLC:

• Does not handle, process, or store payment information
• Is not responsible for disputes, chargebacks, payment failures, or KYC restrictions
• Cannot override Stripe decisions such as account holds, verifications, or freezes

Businesses are responsible for complying with Stripe Connect terms, local financial regulations, and KYC/AML requirements.

10.4 Suspension by Meta or Stripe

Chatly's functionality may be limited, restricted, or suspended if:

• The business violates Meta or WhatsApp Business API rules
• The business sends prohibited content
• The business receives large volumes of user reports
• Stripe suspects fraudulent payment activity
• WhatsApp phone numbers are flagged or banned

Type Two Agency LLC is not responsible for outages, account bans, or restrictions imposed by Meta, WhatsApp, Stripe, or the WhatsApp Business API provider.

10.5 Prohibited Use

Users may not use Chatly to:

• Send bulk unsolicited messages
• Automate political, medical, sexual, or illegal content
• Circumvent WhatsApp template approval processes
• Engage in harassment, spam, scams, or phishing
• Attempt to bypass API rate limits or security restrictions

Violation of these conditions may result in immediate suspension of the Chatly service.

10.6 Liability & Responsibility

Users acknowledge that:

• They retain full ownership and responsibility for all conversations with their customers
• Chatly stores messages only temporarily and does not archive conversations
• Chatly's automations operate exactly as configured by the business
• Type Two Agency LLC is not liable for lost messages, customer interactions, revenue loss, misconfigurations, or damages resulting from automated flows created by the user

10.7 Termination

Type Two Agency LLC reserves the right to suspend or terminate access to Chatly for any user who:

• Violates applicable platform rules
• Misuses the WhatsApp Business API
• Engages in prohibited or unlawful activities
• Attempts to modify, reverse engineer, or misuse the automation system

10.8 Phone Number Management and WhatsApp Business API Restrictions

Chatly provides business messaging phone numbers through third-party providers. When a phone number is connected to the official WhatsApp Business API (Meta), it can no longer be used simultaneously in the WhatsApp Business mobile app or the standard WhatsApp app.

Important Restrictions:

• This is an official Meta/WhatsApp restriction, not a limitation of Chatly
• Once connected to the API, the number is "migrated" to the API environment
• The number will no longer function in mobile WhatsApp apps
• All messaging must go through the API-connected software (Chatly)
• To use mobile WhatsApp again, the number must be disconnected from the API first

Recommended Solution:

• Use one dedicated number for API automation (Chatly)
• Use a separate number for manual/personal WhatsApp Business app usage

Phone Number Misuse Policy:

Chatly provides business messaging phone numbers. Misuse, spam, or violation of WhatsApp policies may result in phone number suspension. Type Two Agency LLC is not responsible for phone number bans or restrictions imposed by Meta, WhatsApp, or third-party phone number providers.

Users are responsible for ensuring their use of phone numbers complies with all applicable laws, regulations, and platform policies. Any misuse of phone numbers, including but not limited to spam, harassment, or violation of WhatsApp's terms of service, may result in immediate suspension of the phone number and Chatly service.

11. Agency Services (Websites, Apps, Branding, Automations)

For custom services delivered by Type Two Agency LLC:

11.1 Intellectual Property

Unless a separate written contract states otherwise:

• Type Two Agency LLC retains ownership of all code and internal tools
• Clients receive a license to use the final delivered product
• Ownership buyout requires a separate purchase agreement
• Access to code ≠ ownership

11.2 Client Responsibilities

Clients must provide:

• Domains, hosting, DNS access
• Logins for Meta/TikTok/Google/Stripe if needed
• Branding, content, and approvals on time

TypeTwo is not responsible for delays caused by missing access or materials.

11.3 Unauthorized Modifications

If the client or a third party modifies:

• Code
• Hosting settings
• DNS
• Plugins
• Automations

→ The warranty becomes void.

→ Fixes are billed separately.

11.4 Refunds

Due to the digital nature of work:

All agency payments are final and non-refundable once work begins.

11.5 Penalties for Canceling Projects Early

If a client cancels a custom agency project after work has started:

• A cancellation fee applies
• Ranges between 2× to 15× the weekly value of the delivered work
• The exact multiplier depends on the project contract

This protects against lost labor, opportunity cost, and booked project hours.

12. Disclaimer of Warranties

All services are provided "as-is", without warranties of any kind.

TypeTwo is not responsible for:

• API outages
• Third-party downtime
• Data loss caused by external providers
• Platform or algorithm changes (Meta, Google, TikTok, Stripe)

13. Limitation of Liability

To the maximum extent permitted by law, Type Two Agency LLC is not liable for:

• Loss of profits
• Loss of data
• Business interruption
• Account bans or suspensions
• Content generated by the user or AI
• Third-party outages
• Incorrect user configurations

Total liability will not exceed the amount paid in the past 60 days.

14. Termination

We may suspend or terminate accounts for:

• Violation of Terms
• Abuse of the platform
• Illegal, abusive, or spam behavior
• Attempts to reverse engineer or duplicate the platform
• Chargebacks or fraudulent activity

Users may terminate their account at any time through their dashboard.

15. Modifications to Terms

We may update these Terms at any time.

Continued use of the Platform constitutes acceptance of updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Washington.

Any dispute shall be resolved through binding arbitration in King County, WA.
